1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the website, products, and services provided by ProcessWorks ("ProcessWorks," "we," "our," or "us").

By accessing our website, purchasing our services, or otherwise using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use our website or services.

2. Our Services

ProcessWorks provides professional business services, including but not limited to:

  • Business process consulting

  • Workflow automation

  • Artificial intelligence solutions

  • CRM implementation and optimization

  • Software integrations

  • Business systems design

  • Technical support and training

  • Other related technology and consulting services

We reserve the right to modify, suspend, or discontinue any service at any time.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.

4. Pricing and Payments

Pricing is provided through proposals, invoices, subscription plans, or written agreements.

Payments are securely processed by Stripe or another authorized payment processor. By submitting payment, you authorize the payment processor to charge your selected payment method.

Failure to make payment may result in delayed, suspended, or terminated services.

5. Subscription Services

If you enroll in a recurring subscription:

  • Your subscription automatically renews until canceled.

  • Your payment method will be charged at the beginning of each billing cycle.

  • You may cancel future renewals before your next billing date.

  • Previously charged subscription fees are generally non-refundable unless required by law.

6. Refund Policy

Unless otherwise stated in writing:

  • Setup fees are non-refundable once work has begun.

  • Consulting services are non-refundable after delivery.

  • Custom development work is non-refundable after development has started.

  • Monthly subscription fees are non-refundable after the billing period begins.

  • Approved refunds will be issued to the original payment method.

7. Client Responsibilities

You agree to:

  • Provide accurate information.

  • Cooperate throughout the project.

  • Maintain the security of your login credentials.

  • Obtain any permissions necessary for materials you provide.

  • Comply with all applicable laws.

8. Intellectual Property

Unless otherwise agreed in writing, all software, automation workflows, templates, documentation, designs, training materials, and other proprietary content created by ProcessWorks remain our intellectual property.

Upon full payment, clients receive a limited, non-exclusive, non-transferable license to use purchased deliverables for their internal business operations.

9. Third-Party Services

Our services may connect with third-party platforms such as CRMs, payment processors, AI providers, communication tools, or other software services.

We are not responsible for the availability, performance, pricing, security, or actions of any third-party provider.

10. No Guarantee of Results

We strive to provide high-quality services but do not guarantee specific business outcomes, revenue increases, customer acquisition, operational improvements, or return on investment.

Results depend on numerous factors beyond our control.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, except where prohibited by law.

12. Limitation of Liability

To the fullest extent permitted by law, ProcessWorks shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Our maximum liability for any claim shall not exceed the amount paid by the client for the services directly giving rise to the claim during the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ProcessWorks, its owners, employees, contractors, affiliates, and agents from claims, damages, liabilities, costs, and expenses arising from your misuse of our services or violation of these Terms.

14. Confidentiality

Both parties agree to keep confidential information disclosed during the business relationship private, except where disclosure is required by law.

15. Termination

We reserve the right to suspend or terminate services if:

  • These Terms are violated.

  • Required payments are not made.

  • Fraudulent, abusive, or unlawful activity occurs.

  • Continued service would create legal or operational risk.

Termination does not eliminate any outstanding payment obligations.

16. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your information.

17. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law principles.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas, and the parties consent to the jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. Any changes become effective upon posting the revised version with an updated effective date. Your continued use of our services constitutes acceptance of the revised Terms.
